Terms of Service

Welcome to Bevel. These Terms of Service ("Terms") govern access to and use of Bevel's course analysis and improvement platform ("Service"), operated by Bevel ("we," "us," or "our").

By accessing or using our Service, Customer agrees to be bound by these Terms. If accessing the Service on behalf of an institution, Customer represents and warrants that they have authority to bind that institution to these Terms.

Agreement Scope

Enterprise Customers

If Customer's institution has executed a Master Service Agreement ("MSA") with Bevel, those terms supersede these Terms of Service to the extent of any conflict. The MSA governs pricing, support levels, data handling addenda, and any negotiated modifications.

These Terms, together with our Privacy Policy and Data Policy, form the complete agreement between Customer and Bevel for use of the Service, unless superseded by an executed MSA.

Acceptance

Customer accepts these Terms by: (a) executing an Order Form or MSA that references these Terms; (b) accessing the Service through institutional SSO/SAML authentication; or (c) using the Service in any manner. If Customer does not agree to these Terms, Customer must not use the Service.

Service Description

Bevel is an AI Workspace that imports courses from your LMS, structures content for analysis, and enables instructional design teams to:

  • Analyze course content against educational frameworks and accessibility standards
  • Generate actionable reports and insights about course quality
  • Make bulk improvements to course content with human oversight and approval
  • Collaborate on course development and review workflows
  • Integrate with Learning Management Systems (LMS) via standard protocols

We may modify, enhance, or discontinue features of the Service with reasonable notice. Material changes affecting Customer's use will be communicated at least 30 days in advance where practicable.

Your Content and Data

Ownership

Customer retains all ownership rights to content uploaded to Bevel ("Customer Content") and to outputs generated by the Service based on Customer Content ("AI Outputs"). Bevel claims no ownership interest in Customer Content or AI Outputs.

License to Bevel

Customer grants Bevel a limited, non-exclusive license to process Customer Content solely to provide the Service. This includes:

  • Storing and processing content to deliver analysis, reports, and suggested improvements
  • Creating backups for disaster recovery purposes
  • Transmitting content to AI providers under strict data processing agreements

This license terminates when Customer deletes content or terminates the Service. We do not use Customer Content to train AI models, as detailed in our Data Policy.

FERPA and Student Data

Bevel is designed to process course content only and does not access, store, or process student education records as defined under the Family Educational Rights and Privacy Act (FERPA). Customer is responsible for ensuring that content uploaded to Bevel does not contain protected student information.

For institutions requiring additional assurances, a FERPA compliance addendum is available upon request. Contact legal@trybevel.ai to request.

AI-Generated Outputs

  • Ownership: Customer owns AI Outputs generated from Customer Content and may use them without restriction.
  • Human Review Required: AI Outputs are provided as suggestions. Customer is responsible for reviewing and approving any changes before applying them to courses.
  • Compliance: Customer is responsible for ensuring AI Outputs meet institutional standards and requirements.

Data Deletion

Upon termination of the Service or upon written request, Bevel will delete Customer Content within 30 days. Customer may export content at any time prior to termination. Backup copies are purged within 90 days of a deletion request. See our Data Policy for complete retention schedules.

Acceptable Use

Customer agrees to use the Service only for lawful educational purposes and in accordance with these Terms. Customer shall not:

  • Upload content that infringes intellectual property rights of third parties
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or extract source code from the Service
  • Resell, sublicense, or redistribute access to the Service without authorization
  • Use automated means to access the Service beyond approved API integrations
  • Use the Service in any manner that could impair its operation or security

Bevel reserves the right to suspend access for material violations of this policy, with notice provided where practicable.

Intellectual Property

Bevel's Intellectual Property

The Service, including its design, features, code, documentation, and underlying technology, is owned by Bevel and protected by copyright, trademark, and other intellectual property laws. These Terms grant no rights to Bevel's intellectual property except the limited right to use the Service as provided herein.

Customer's Intellectual Property

Customer retains all intellectual property rights in Customer Content and AI Outputs. Customer represents and warrants that Customer has the necessary rights to upload content to the Service and that such content does not infringe third-party rights.

Feedback

If Customer provides suggestions, ideas, or feedback about the Service ("Feedback"), Bevel may use such Feedback without obligation to Customer. Customer is not required to provide Feedback.

Warranties and Disclaimers

Bevel's Warranties

Bevel warrants that:

  • The Service will perform materially as described in applicable documentation
  • Bevel will provide the Service with reasonable skill and care
  • Bevel maintains industry-standard security practices as described in our Data Policy
  • Bevel has the right to provide the Service and grant the rights described herein

AI Output Disclaimer

AI-generated outputs are provided as suggestions to assist qualified instructional design professionals. AI outputs may contain errors, inaccuracies, or content that does not meet Customer's specific requirements. Customer is responsible for reviewing all AI outputs before use. Bevel does not warrant the accuracy, completeness, or fitness of AI outputs for any particular purpose.

Beta Features

Features designated as "beta," "preview," or "experimental" are provided "AS IS" without warranty. Beta features may be modified or discontinued without notice. The warranties in this section do not apply to beta features.

General Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, THE SERVICE IS PROVIDED "AS IS." BEVEL DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Liability and Indemnification

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
  • Each party's total aggregate liability arising from or related to these Terms will not exceed the greater of: (a) the fees paid by Customer in the 12 months preceding the claim, or (b) $50,000 USD.

Liability Exclusions

The limitations above do not apply to:

  • Either party's breach of confidentiality obligations
  • Either party's indemnification obligations
  • Customer's payment obligations
  • Bevel's obligations following a security breach involving Customer data
  • Claims arising from willful misconduct or gross negligence

Mutual Indemnification

Bevel will indemnify Customer against third-party claims arising from:

  • Bevel's breach of these Terms
  • Claims that the Service infringes third-party intellectual property rights
  • Bevel's gross negligence or willful misconduct

Customer will indemnify Bevel against third-party claims arising from:

  • Customer's breach of these Terms
  • Customer Content or Customer's use of AI Outputs
  • Customer's violation of third-party rights

General Terms

Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles.

Before initiating formal proceedings, both parties agree to attempt good faith negotiations to resolve any dispute. Either party may initiate discussions by sending written notice to the other party. If the dispute is not resolved within 60 days, either party may pursue resolution through the courts.

Any legal action shall be brought exclusively in the federal or state courts located in Boston, Massachusetts. Both parties consent to the personal jurisdiction of such courts.

Changes to Terms

We may modify these Terms from time to time. We will provide notice of material changes by email or through the Service at least 30 days before changes take effect. Continued use of the Service after changes become effective constitutes acceptance. If Customer does not agree to modified Terms, Customer must discontinue use of the Service.

Term and Termination

These Terms remain in effect while Customer uses the Service. Either party may terminate by providing written notice. Upon termination:

  • Customer's access to the Service will cease
  • Customer may export Customer Content before termination
  • Bevel will delete Customer Content per our Data Policy
  • Sections on intellectual property, liability, and general terms survive termination

Additional Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Data Policy, constitute the entire agreement between Customer and Bevel, unless superseded by an executed MSA.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: Neither party may assign these Terms without the other's consent, except to a successor in connection with a merger, acquisition, or sale of substantially all assets.
  • Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control.
  • Notices: Notices to Bevel should be sent to legal@trybevel.ai. Notices to Customer will be sent to the email address on file.
